TRACKOUT LICENSE

MASTER RECORDING

This license is a non-exclusive & non-transferable license to record vocal synchronization to the composition partly or in its entirety and substantially in its original form ("master recording").

DISTRIBUTION

Sell up to 10,000 copies worldwide for a duration of 3 years from the date of purchase. The amount of non-profit and non-commercial downloads or streams is unlimited. In the event that an exclusive license is sold by Licensor to the Composition, the terms of this agreement shall be upheld.

PAYMENT & DELIVERY

All payments are processed via PayPal or credit card. Once checkout has completed, you will immediately receive an email containing download links and license agreement. The premium license contains a high quality WAV file + trackout files and will be delivered with all watermarks and tags removed.

SYNCHRONIZATION & STREAMING

The licensor hereby grants limited synchronization rights for 2 music videos streamed online (YouTube, Vimeo, etc..) for up to 500.000 non-monetized video streams on all total sites. A separate synchronization license might need to be purchased for distribution of video to Television, Film or Video game. This license allows up to 500.000 monetized audio streams to sites like (Spotify, iTunes etc.), but not eligible for monetization on YouTube. It also does not grant any kind of radio broadcasting rights.

PUBLISHING & ROYALTIES

The Licensee is entitled to keep 100% of all income that is generated from sales of the Master Recording on digital retailers (such as iTunes), through physical sales (such as Compact Disks) and on online streaming services (such as Spotify). PERFORMANCE

The licensor hereby grants to icensee a non-exclusive license to use the master recording in unlimited non-profit performances, shows, or concerts. Licensee may receive compensation from performances with this license.

CREDITS

Production credit for each master project released must be accredited to Kimbo Beatz as either „Prod by Kimbo Beatz“. Upon copyright submission to the library of congress, Kimbo Beatz must be credited for the derivative work. All non-exclusive licenses are royalty free, which grants the licensee the right to collect all income generated from the commercial release of the project.

RESTRICTIONS

The license does not contain the right to add additional instrumentation to the instrumental. The licensee cannot assign rights under this agreement to a party other than the purchaser of the license without the written approval of the licensor.

AUDIO SAMPLES

3rd party sample clearance (if any) is the responsibility of the licensee.

GOWERNING LAW

This license is governed by and shall be construed under the law of the Germany, without regard to the conflicts of laws principles thereof.

OWNERSHIP

Kimbo Beatz maintains 100% full rights (copyright and ownership) of the instrumental and can continue to sell it non-exclusively and/or exclusively.

By purchasing an instrumental, you automatically agree to the terms stated above and gain non-exclusive rights.
